This is an actual bid spread sheet provided to a client with names removed.

What you will notice to the left for each potential buyer is a rating by the Closer. And there are three things that tell us if it is an A-Plus Buyer.   1. – Certainty to close, do they have a committed fund?
  2. – Strategic rationale, understanding why they want to buy this company?
    Is it a must have? (As an example, do they have a portfolio company in the space,
    or have a history of just doing manufacturing acquisitions?)
  3. – What is the purchase price?

They are not all weighted equally.
Certainty to close and the ability to fund the deal would represent 75%.
Strategic rationale and purchase price would be weighted 12.5% equally.

The Closer will put together a summary of all the bids, and decide with the Seller who to invite in for virtual management meetings.

We want to identify the top five to six for management meetings. These are the buyers with the most certainty to close, not necessarily those with the highest price.
